Terms of Service

Last updated: 12 September 2026

Welcome to Prasan Digital.

These Terms of Service (“Terms”) apply to the use of the Prasan Digital website and to digital marketing, website, administrative and related services provided by Prasan Digital (“Prasan Digital”, “I”, “me”, “my” or “Service Provider”) to a client (“Client”, “you” or “your”).

By requesting, purchasing or using my services, you agree to these Terms together with any quotation, proposal, service agreement, statement of work, email confirmation or other written agreement that applies to your project.

If there is a conflict between these Terms and a separate written agreement signed or accepted by both parties, the separate agreement will take precedence for that specific service or project.

2. Service Arrangements

Prasan Digital may provide services under one of the following arrangements:

  • Hourly support
  • Fixed-price projects
  • Contract work
  • Fixed-term arrangements
  • Monthly support
  • Ongoing assistance
  • Full-time or part-time assistance

The agreed arrangement will be confirmed before work begins.

  • Services to be provided
  • Estimated or agreed hours
  • Project timeframe
  • Deliverables
  • Fees
  • Payment schedule
  • Client responsibilities
  • Advertising or third-party costs
  • Other specific conditions.

3. Hourly Rate

My standard advertised freelance rate is:

US$20 per hour

However, the actual price for a particular service may differ where a fixed project price, package, monthly arrangement or other rate has been agreed in writing.

Unless otherwise agreed, hourly work is charged based on the time reasonably required to perform the requested services.

Time may include:

  • Planning
  • Research
  • Meetings
  • Communication
  • Strategy
  • Content preparation
  • Website work
  • SEO work
  • Advertising management

  • Email marketing
  • Administrative tasks
  • Reporting
  • Revisions
  • Troubleshooting
  • Other activities reasonably required to complete the agreed work.

4. Quotes and Estimates

Where I provide an estimate of hours, cost or completion time, the estimate is based on the information available at the time.

An estimate is not necessarily a fixed price unless it is specifically identified as a fixed-price quotation.

Additional work may be required if:

  • The Client changes the scope;
  • Additional functionality is requested;
  • New information or requirements are introduced;
  • The original information supplied by the Client was incomplete;
  • Third-party systems create additional work;
  • Technical problems outside my control occur; or
  • Additional revisions or work are requested.

Where reasonably practicable, I will inform the Client before significant additional work is undertaken.

5. Fixed-Price Projects

For fixed-price projects, the agreed price will normally cover only the services and deliverables specifically described in the quotation, proposal or project agreement.

Requests outside the agreed scope may be treated as additional work and may be charged separately.

Examples include:

  • Additional website pages
  • Additional revisions
  • Additional content
  • New features
  • Additional advertising campaigns
  • Additional social media platforms
  • Additional integrations
  • Additional administrative work.

Any significant change to the project scope may require a revised quote or written approval.

6. Payment

Payment terms will be stated on the relevant invoice, quotation, proposal or service agreement.

Unless otherwise agreed:

  • Invoices are payable by the due date shown on the invoice.
  • The Client is responsible for paying the agreed service fees.
  • Third-party costs and advertising costs are separate unless specifically stated otherwise.
  • Work may be paused if an invoice becomes overdue.
  • Reasonable efforts will be made to communicate with the Client before work is paused due to non-payment.

For ongoing services, payment may be arranged weekly, fortnightly, monthly or according to another agreed schedule.

7. Advertising Costs

Where I manage advertising campaigns for the Client, my service fee does not automatically include advertising spend.

Advertising platforms may include:

  • Google Ads
  • Meta Ads, including Facebook and Instagram
  • Other advertising platforms agreed with the Client.

Unless expressly agreed otherwise, the Client is responsible for advertising spend paid to the relevant advertising platform.

For example:

Prasan Digital service fee: US$20/hour

Advertising budget: Paid separately to Google, Meta or another advertising platform.

Advertising budgets, campaign charges and platform fees are separate from my professional service fees unless specifically stated otherwise in writing.

19. Portfolio and Work Examples

Unless the Client specifically requests otherwise in writing, Prasan Digital may wish to display completed work as part of its professional portfolio or to describe the type of work performed.

However, confidential information, private customer information and sensitive business information will not knowingly be published.

If a Client requires that its project remain confidential and not be used publicly, this should be agreed in writing.

Clients should not provide unnecessary personal information.

22. Data and CRM Information

Where Prasan Digital works with customer or lead information inside a CRM, email marketing system or other platform, the Client remains responsible for ensuring that it has an appropriate lawful basis and permission to collect and use that information.

Prasan Digital does not independently determine whether the Client’s customer database complies with privacy or marketing laws.

The Client is responsible for its own customer consent, privacy notices, retention requirements and marketing permissions.

If no notice period has been agreed, either party should provide reasonable notice where practical.

Any specific cancellation or refund terms for a project will be stated in the relevant proposal or agreement.

28. Refunds and Remedies

Prasan Digital aims to provide services professionally and with reasonable care and skill.

The website may occasionally be unavailable because of:

  • Maintenance

  • Software updates
  • Security measures
  • Technical issues
  • Third-party services
  • Circumstances outside my reasonable control.

34. Links to Other Websites

The Prasan Digital website may contain links to third-party websites.

Prasan Digital may update these terms from time to time.

The updated version will be published on this website with a revised “Last updated” date.

Changes will generally apply to new services and agreements from the date they are published, unless otherwise stated.

For an existing project, the terms applying to that project will depend on the agreement between the Client and Prasan Digital.

36. Disputes and Complaints

If you have a concern about a service, please contact Prasan Digital first.

I will make reasonable efforts to understand the issue and work with you to find a practical solution.

Where appropriate, the parties may consider:

  2. Reviewing the agreed scope and deliverables;
  3. Correcting an issue where appropriate;
  4. Agreeing on another reasonable solution; or

The parties submit to the applicable jurisdiction of the New Zealand courts and tribunals.

Nothing in these Terms is intended to exclude or restrict rights that cannot legally be excluded or restricted under New Zealand law.

Where the Consumer Guarantees Act 1993 applies to the services provided by Prasan Digital, nothing in these Terms is intended to exclude, restrict or limit the rights and remedies provided to the Client under that Act.

Services supplied to consumers in New Zealand may be subject to guarantees including reasonable care and skill, fitness for an agreed particular purpose, reasonable time where no timeframe has been agreed, and reasonable price where no price has been agreed.

Where the law permits a different arrangement between businesses, that arrangement should be expressly agreed in writing.

Nothing in these Terms is intended to permit misleading or deceptive conduct or to exclude rights that cannot legally be excluded under the Fair Trading Act 1986.

40. Entire Agreement

The relevant terms, quotation, proposal, service agreement, statement of work and other written agreements between Prasan Digital and the client form the basis of the service relationship.

Where a specific written agreement contains terms that differ from these website terms, the specific agreement will generally apply to that project or service.

41. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or removed to the extent necessary, and the remaining provisions will continue to apply to the extent permitted by law.
